These Terms of Service (“Terms”) govern your use of:
By visiting our website, using our repair or buyback services, or using ACPR POS, you agree to these Terms. If you are using ACPR POS on behalf of a business, you are agreeing on that business’s behalf and confirming you have authority to do so. If you do not agree, do not use our website, our services, or ACPR POS.
Sections are labeled where the terms differ between these two groups.
Buyback offers are based on the information and condition you disclose and our inspection at drop-off; final payout may be adjusted if the device’s actual condition, functionality, or lock/activation status (e.g., iCloud, Google, carrier, or financing locks) differs from what was represented.
By selling a device to us, you confirm you are the legal owner (or authorized to sell it) and that it is not stolen, lost, reported missing, or subject to a lien or lease. We reserve the right to decline any device, including devices that fail activation/ownership verification.
You are responsible for removing personal data and accounts from any device before sale; we are not responsible for data remaining on a device after purchase.
Content on our website (text, images, logos) is owned by us or licensed to us and may not be copied or reused without permission. You agree not to misuse the site (e.g., attempting to breach security, scraping, or submitting false information through our contact forms). We may update, suspend, or discontinue parts of the website at any time.
Subject to these Terms and any applicable license/subscription fees, we grant merchant users a non-exclusive, non-transferable, revocable license to access and use ACPR POS for their own internal business operations. You may not resell, sublicense, reverse-engineer, or white-label the platform without our written consent.
You are responsible for maintaining the confidentiality of login credentials and for all activity under your account, including actions by your staff. You must provide accurate business information and keep it up to date. We may suspend or terminate accounts for violation of these Terms, non-payment, or suspected fraudulent/illegal use.
You retain ownership of the business, customer, and transaction data you input into ACPR POS (“Merchant Data”). You grant us a limited license to host, process, and display Merchant Data solely to provide and support the platform. You are responsible for having the necessary rights and consents to input customer data (names, contact info, device info, photos, etc.) into ACPR POS, and for your own compliance with applicable privacy laws toward your customers. Payment processing within ACPR POS is handled through third-party payment processors (e.g., Stripe). Your use of payment processing is also subject to that processor’s terms. We are not a party to, and are not liable for, the underlying financial transaction between you and your customer.
ACPR POS includes an optional feature that connects to third-party social media platforms (e.g., Facebook, Instagram, Google Business Profile) via their official APIs to draft and publish content on a merchant’s behalf (“Social Agent”).
By enabling the Social Agent, you agree that:
You agree not to use ACPR POS to: violate any law; post false, defamatory, or misleading content (including through the Social Agent); infringe intellectual property or privacy rights; store data you don’t have rights to; or attempt to disrupt, reverse-engineer, or gain unauthorized access to the platform or other merchants’ data.
Subscription/license fees, if applicable, are billed as disclosed at signup. Non-payment may result in suspension. Either party may terminate a merchant’s use of ACPR POS as described in the applicable order/subscription terms, or, absent such terms, with 30 days’ written notice. Upon termination, we will make reasonable efforts to allow export of Merchant Data for a limited period, after which it may be deleted per our data retention practices.
Our website, services, and ACPR POS are provided “as is” and “as available.” To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that ACPR POS will be uninterrupted, error-free, or that any social media post will comply with a given platform’s ever-changing policies.
To the fullest extent permitted by law, ACPR and its owners/employees will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost data, or loss of business, arising from your use of our website, repair/buyback services, or ACPR POS (including the Social Agent). Our total liability for any claim will not exceed the amount you paid us for the specific service or subscription giving rise to the claim in the preceding 12 months. Nothing in these Terms limits liability where prohibited by California law.
You agree to indemnify and hold ACPR harmless from claims, damages, and expenses (including reasonable attorneys’ fees) arising from: your use of ACPR POS or the Social Agent; content you approve or that is published to your connected social accounts; your violation of these Terms; or your violation of any law or third party’s rights, including your customers’ privacy rights.
These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles. Any dispute will be resolved in the state or federal courts located in Orange County, California, and you consent to jurisdiction there.
We may update these Terms from time to time. Material changes will be posted here with an updated “Last updated” date. Continued use of our website, services, or ACPR POS after changes take effect constitutes acceptance.
